Terms of Service

These are the terms under which we provide our products and services. By using anything from Tona Digital, you agree to these terms. We've tried to keep them human-readable.

1. The basics

"Tona Digital", "we", "our" refers to Tona Digital, a company registered in the Netherlands. "You" refers to anyone using our website, products, or services.

2. Account

You're responsible for keeping your account credentials safe and for everything that happens under your account. Notify us immediately at security@tonadigital.com if you suspect unauthorized access.

3. Acceptable use

Don't use our products to:

• Break the law or facilitate illegal activity.
• Harm minors or generate non-consensual sexual content.
• Distribute malware or attempt to compromise our systems.
• Resell or repackage our services without an explicit license.
• Train competing AI models on outputs of our AI SourceCheck classifier.

4. Subscriptions, billing & cancellation

• SaaS plans are billed monthly or annually in advance.
• Monthly plans cancel at the end of the current period.
• Annual plans are pro-rated and refundable in the first 30 days.
• Failed payments will trigger a grace period of 7 days before suspension.
• Prices are in EUR and exclude VAT, charged where applicable.

5. Service-specific terms

For bespoke engagements, a separate Statement of Work governs scope, deliverables, IP assignment and payment. These Terms of Service apply alongside the SoW where not contradicted.

6. Intellectual property

You retain ownership of all content you create with our products. We retain ownership of our software, models, brand and documentation. For SaaS, you grant us a minimal license to host and process your content solely to deliver the service.

7. Warranty disclaimer

We provide our products "as is". While we work hard to keep them reliable, we don't warrant that they will be uninterrupted, error-free, or fit for any particular purpose. For Enterprise customers, separate SLAs apply.

8. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or related to these Terms is limited to the amount you have paid us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental, special or punitive damages.

9. Termination

You can stop using our services and close your account at any time. We may suspend or terminate accounts that violate these Terms, with notice where reasonable.

10. Changes

We may update these Terms occasionally. Material changes will be announced at least 30 days in advance via email or in-product notification.

11. Governing law

These Terms are governed by Dutch law. Any disputes will be brought before the competent court in the district where Tona Digital is registered, unless mandatory consumer-protection law dictates otherwise.
